Альтернативный критерий установления “закрытости” компании базируется на активах компании: если пять или менее акционеров либо любое число акционеров, являющихся одновременно директорами компании, претендуют на более чем 50% ее активов в случае ликвидации компании, она считается “закрытой”. Принципиальное отличие “закрытой” компании состоит в том, что некоторые платежи компании своим акционерам, например, займы или квазизаймы компании, могут рассматриваться Департаментом налогов и сборов как распределение (distribution). “Закрытые” инвестиционные компании не могут рассчитывать на обложение их корпорационнъш налогом (corporation tax) по сниженным ставкам.
